4. Fees and Payment

Service fees will be specified in your individual service agreement. General payment terms:

• Fees are billed monthly unless otherwise specified
• Payment is due within the timeframe specified in your invoice
• Late payments may result in service suspension
• You are responsible for all advertising spend separate from our management fees
• Refunds are subject to the terms in your service agreement

5. Performance and Results

While we strive to optimize your Microsoft Ads campaigns for the best possible results, we cannot guarantee specific outcomes, ROI, or rankings. Campaign performance depends on various factors including but not limited to market conditions, competition, budget, and product/service quality.

6. Intellectual Property

All content, strategies, and materials created by MS Ads Pro remain our intellectual property unless otherwise specified in writing. Upon full payment:

• You receive a license to use campaign materials for your business
• We retain the right to use anonymized data for case studies
• Campaign templates and proprietary strategies remain our property

7. Confidentiality

We agree to maintain the confidentiality of your business information, campaign data, and any proprietary information shared with us. We will not disclose this information to third parties except as necessary to provide our services or as required by law.

8. Term and Termination

Service terms are specified in your individual agreement. General provisions:

• Either party may terminate with written notice as specified in the agreement
• We reserve the right to terminate immediately for non-payment or breach of terms
• Upon termination, you remain responsible for all fees incurred
• We will provide campaign access transition assistance upon request

9. Limitation of Liability

To the maximum extent permitted by law, MS Ads Pro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, or data, arising from your use of our services.

10. Indemnification

You agree to indemnify and hold MS Ads Pro harmless from any claims, damages, or expenses arising from your use of our services, violation of these terms, or violation of any third-party rights.

11. Compliance with Laws

You agree to comply with all applicable laws and regulations, including advertising standards, consumer protection laws, and data protection regulations. Your campaigns must comply with Microsoft Ads policies and guidelines.

12. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.

13. Dispute Resolution

Any disputes arising from these terms or our services shall be resolved in accordance with French law and under the jurisdiction of the courts of Lyon, France.
